Master Services Agreement
1. Scope of Work
All projects commence with a detailed Statement of Work (SOW) that defines deliverables, timelines, acceptance criteria, and payment terms. The SOW becomes a binding attachment to this Master Services Agreement upon execution by both parties.
2. Milestone Acceptances
Work is delivered in defined milestones as specified in the SOW. Each milestone requires formal acceptance within 5 business days of delivery. Acceptance may not be unreasonably withheld if deliverables meet the agreed specifications.
3. Intellectual Property
Upon full payment for each milestone, all intellectual property rights for work product transfer to the Client. MASS LLC retains the right to use general methodologies, techniques, and non-confidential learnings in future engagements.
4. Confidentiality
Both parties agree to maintain strict confidentiality of proprietary information. This obligation survives termination of the agreement for a period of 3 years, except for information that becomes publicly available through no breach of this agreement.
5. Payment Terms
Payment is due according to the schedule defined in the SOW. Standard terms are Net 30 from invoice date. Late payments incur interest at 1.5% per month. Financing options are available through our approved partners.
6. Warranties
MASS LLC warrants that all work will be performed in a professional manner consistent with industry standards. Any defects in deliverables will be corrected at no charge if reported within 30 days of acceptance.
7. Limitation of Liability
Neither party shall be liable for indirect, incidental, or consequential damages. MASS LLC's total liability shall not exceed the fees paid for the specific milestone giving rise to the claim.
8. Termination
Either party may terminate for convenience with 30 days written notice. Client remains responsible for payment of work completed and expenses incurred. Termination for cause requires 10 days written notice and opportunity to cure.
